Job Summary

We are looking for a Counsel to join the Cable Legal Compliance team. The Counsel, Government Contracts & Government Programs, will be responsible for providing legal and compliance support for Comcast Cable’s Government Contracts and Government Programs teams. Specifically, this position will support Comcast Cable’s participation in federal, state, and local government contracts and in government subsidies, grants, and funding programs. This position involves regular interaction with Comcast’s leadership and requires the ability to work with considerable autonomy. The successful candidate will be a highly skilled, law-firm- or government-trained lawyer with significant government contracts and government programs experience. This is a front-line role for a confident, proactive, business-minded lawyer with excellent judgment and integrity who can work with colleagues across the organization to drive compliance with all applicable laws and company policies. The position will report to the Deputy General Counsel, Government Contracts, who is the subject matter expert responsible for compliance with federal, state, and local government contracts. The Counsel also will collaborate with the Chief Compliance Officer, work closely with the Chief Legal Risk and Governance Officer as it relates to government programs, and partner with stakeholders across the company to provide expertise and guidance on compliance risks, and to support implementation of and enhance the compliance program.

Job Description

Core Responsibilities

  • Provides legal counsel and support to one or more business units and/or the corporate headquarters. Counsels on a broad range of legal issues related to assigned area(s).
  • Provides leadership in one or more legal specialties and disseminates information on trends and innovations within the specialty.
  • Performs legal research when and as necessary to resolve legal issues and determine the appropriate course of action regarding a particular issue/case.
  • Engages and directs outside counsel to undertake specific and complex work requiring the application of highly specialized legal knowledge.
  • Oversees the completion of projects including planning, assigning, and monitoring; reviewing progress and accuracy of work; evaluating results, etc.
  • Provides mentorship and guidance to legal staff including junior Attorneys, Paralegals, Contract Specialists, and administrative staff, as required.
  • Consistent exercise of independent judgment and discretion in matters of significance.
  • Regular, consistent, and punctual attendance. Must be able to work nights and weekends, variable schedule(s) as necessary.
  • Other duties and responsibilities as assigned.

Job Requirements:

  • Requires minimum 4–6 years of legal experience at a large firm, government agency, or corporation specializing in providing legal and regulatory advice in connection with government contracts and government programs. 
  • Law Degree from top tier U.S. law school. Top 20% of class and law review strongly preferred. 
  • Experience in building and maintaining legal compliance programs with effective training, communications, and monitoring to ensure adherence to U.S. federal, state, and local procurement laws and regulations, including but not limited to 2 CFR Part 200, as well as regulatory requirements arising out of participation in various government programs.
  • Experience handling a host of government contracts and government programs matters stemming from contracting issues (e.g., formation, negotiation, administration, flow down requirements; bid protests; claims and disputes; terminations; cybersecurity requirements and data protection; and supply chain accountability).
  • Knowledge of and experience with cost accounting and pricing principles, changes and equitable adjustments, mergers and acquisitions, joint ventures, suspension and debarment, small business programs, prime/sub/vendor/customer relations and management, teaming agreements, audits, investigations, and regulatory reviews.
  • Knowledge of and experience with federal agency statutes and regulations, including the FAR, DFARS, False Claims Act, Mandatory Disclosure Rule, BAA, TAA, Cybersecurity Maturity Model Certification, Competition in Contracting Act (CICA), Truthful Cost or Pricing Data Act, Wage Rate Requirements (Construction) Act, 41 USC Chapter 65, Fair Labor Standards Act, the Service Contract Labor Standards statute, Organizational Conflicts of Interest, Procurement Integrity Act (including “revolving door” rules), gifts & gratuities, and the National Industrial Security Program Operating Manual (NIPSOM), as codified in the Code of Federal Regulations (facility and personnel security clearances and matters involving classified information).
  • Excellent negotiating, drafting, problem solving, and communications skills.
  • Ability to manage multiple tasks simultaneously within a rapidly changing and fast-paced environment and ability to analyze legal requirements and translate them into processes and effective risk-based controls for Comcast. 
  • Ability to work effectively with other attorneys, compliance specialists, and business partners, including overseeing and directing work of others.  
  • Experience managing and working with external resources, including law firms, consultants, and industry associations.
  • Understanding of risk assessment and analysis within the context of a growing, innovative technology industry.  Experience in telecommunications is a plus.
  • Demonstrated ability to establish effective cross-group relationships across a large organization. Ability to lead, influence and motivate others, to work as a trusted advisor to the business and to collaborate with others as required to address compliance matters.
  • The highest degree of professional ethics and integrity, with the ability to inspire trust and confidence from internal and external stakeholders.
  • Ability to work independently on a wide variety of tasks in a proactive manner in a fast-paced environment.
  • Citizenship Verification: Due to U.S. Federal Government security screening requirements, this position requires verification of U.S. Citizenship.
  • An active Secret or Top Secret clearance is preferred.  The successful candidate must be eligible to obtain a U.S. Federal Government Top Secret security clearance.
  • In good standing with a state bar, with ability to register as Pennsylvania In-House Counsel.
